Terms of service

1. The service
ProfitSmarts ('we') provides software that reads your Amazon listings and reports, proposes price changes on listings that have lost the Featured Offer, submits the changes you approve, and measures their effect against a held-back control group of your listings. The service is operated by Patriot Knickerbocker, an individual in Maryland, USA.
2. Your approval
We never submit a price without your explicit, recorded approval of the batch that contains it.
Every submitted change is recorded with the price it replaced.
On request, we roll back: we restore every recorded prior price for that batch.
We do not change the price of a listing whose current price we cannot read, because that change could not be undone.
3. The control group
Before the first price change, a stated share of your eligible listings (about 15% unless we agree otherwise in writing) is chosen at random and held back.
Those listings are not repriced for as long as the service runs. You understand that this can cost you sales those listings would otherwise have made.
You consent to the control group. It is how the service measures its effect.
4. Fees, costs and floors
FBA fee estimates come from Amazon. Price floors are computed from those estimates, from the unit costs and referral rates you supply, and from the minimum net amount per sale set in your configuration.
You are responsible for the accuracy of the unit costs and referral rates you supply.
If Amazon provides no fee estimate for a listing, we do not price it. If you have not supplied a unit cost or a referral rate that applies to a listing, we do not price it either.
5. Amazon is a third party
Amazon controls its marketplace. Submitting a price is not a guarantee that Amazon will apply it, and propagation can take hours to days. We do not control it.
Amazon's fee figures are estimates, and the fees Amazon actually charges can differ from them.
We are not affiliated with or endorsed by Amazon.
6. No warranty of results
The service is provided as is.
Results measured for one seller are no promise of results for another, and we do not warrant any increase in sales, Featured Offer share or profit.
7. Limitation of liability
To the extent the law allows, our total liability to you for any claim arising from the service is capped at the fees you paid us in the twelve months before the claim.
8. Ending the service
Either of us may end the service at any time.
You can revoke our access at any time in Amazon Seller Central (Apps and Services → Manage Your Apps). That stops our access to your account at once. A price change Amazon has already accepted may still take effect afterwards.
Deletion of your data follows our Privacy policy.
9. Governing law
These terms are governed by the laws of the State of Maryland, USA.
